Terms and Conditions for Counselors

1. Agreement Overview

This Agreement (“Agreement”) is entered into by and between Global Uni Hub, hereinafter referred to as the “Company,” and the individual referred to as the Consultant (Freelance Counselor).

By agreeing to these Terms and Conditions, the Consultant accepts all responsibilities, duties, and obligations set forth in this document.

2. Nature of Engagement

  • The Consultant is engaged as an independent contractor and not as an employee of the Company.
  • The relationship is on a commission-only basis. No fixed salary, benefits, or reimbursements shall be provided.
  • The Consultant shall operate as a self-employed individual and shall be responsible for their own taxes, professional liability, and expenses.

3. Roles and Responsibilities

The Consultant agrees to:

  1. Counsel prospective students regarding university admissions and programs.
  2. Assist in student registration and the completion of the application process.
  3. Follow ethical practices and guidelines set forth by the Company.
  4. Submit accurate information to both students and the Company.
  5. Maintain confidentiality of student and company information at all times.

4. Commission Payment

  • The Consultant will earn a commission for each successful student registration.
  • The commission ranges between INR 5,000 to INR 10,000 per student, depending on the location and the agreement with the Company.
  • A successful registration is defined as:
    • Student enrollment with a verified university through Global Uni Hub.
    • Payment of required registration fees by the student to the university or the Company.
  • Payments shall be made within 15 to 30 business days after confirmation of a successful student registration.
  • The Company reserves the right to withhold payment if fraudulent or incorrect information is detected.

5. Consultant’s Code of Conduct

The Consultant must:

  1. Abide by Indian laws and regulations, including data privacy (IT Act, 2000) and anti-fraud guidelines.
  2. Avoid misrepresentation, false promises, or unethical behavior toward students or institutions.
  3. Not accept any additional unauthorized payments or commissions from students or third parties.
  4. Promote the Company’s services transparently and professionally.
  5. Not engage in any activity that conflicts with the Company’s interests.

6. Confidentiality and Data Privacy

  • The Consultant agrees to maintain strict confidentiality of all student data, proprietary information, and trade secrets of the Company.
  • All student data must comply with Indian IT Act, 2000 and associated privacy rules.
  • The Consultant shall not share, sell, or misuse any data collected during the engagement.

7. Termination of Agreement

This Agreement may be terminated:

  1. By either party with a 15-day written notice.
  2. Immediately by the Company if:
    • The Consultant engages in unethical, illegal, or fraudulent practices.
    • There is a breach of confidentiality or misconduct.
  3. Upon termination, any pending commissions for valid registrations will be processed as per the payment terms.

8. Independent Status

  • The Consultant understands they are not an employee and cannot claim benefits such as PF, gratuity, health insurance, etc.
  • The Consultant is responsible for their Income Tax filing as per the Indian Income Tax Act, 1961.

9. Liability

  • The Consultant is liable for any damages or legal consequences arising from misinformation, negligence, or violation of any law.
  • The Company holds no liability for any expenses or claims made by the Consultant during the engagement.

10. Dispute Resolution

  • In case of disputes, both parties shall attempt to resolve them amicably through negotiation.
  • If unresolved, the dispute will be referred to arbitration under the Arbitration and Conciliation Act, 1996.
  • The seat of arbitration shall be [City, India], and the language will be English.

11. Governing Law

This Agreement is governed by and interpreted in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts in Hyderabad, India.

12. Acceptance of Terms

By signing this document or clicking “Accept” during the onboarding process, the Consultant agrees to these terms and conditions in full.
